Typical timeline

  • Day 1: structuring call and list of documents
  • Days 2 to 5: KYC, drafting of the agreement and choice of the General Partner
  • Days 5 to 10: signature and RCS registration
  • After registration: bank account opening, which depends on the bank's own onboarding

Timing depends on how quickly documents are provided and on the General Partner route chosen. A Luxembourg SARL or SA as General Partner needs a notarial deed, which adds time.

The eight steps

1

Structuring and KYC

Objectives, investors, General Partner profile and jurisdictions involved. Collection of the identification documents required for onboarding.

2

Choice of vehicle and name

SCS or SCSp, partnership name, corporate purpose, duration, financial year, General Partner and Limited Partners.

3

Registered office and General Partner

Domiciliation agreement and, where the General Partner is a Luxembourg company, its formation before a notary.

4

Limited partnership agreement

Drafting with our legal partners: capital, commitments, management, distributions, transfers, exit and dissolution.

5

Signature and RCS registration

Signature of the agreement, filing of an extract with the RCS and publication in the RESA.

6

Beneficial owners register

Declaration of the beneficial owners of the partnership to the RBE.

7

Bank account

Introduction to banking partners and support with the account opening file.

8

Accounting and tax set-up

Appointment of the accountant, tax registrations and calendar of annual filings.

Timing depends mainly on KYC and bank onboarding. A straightforward structure can be formed within a few days of receiving a complete file; opening the bank account and negotiating the agreement are usually the longest steps.
